1. Acceptance of Terms

By downloading, installing, or using NetSpect, you agree to be bound by these Terms. If you do not agree, do not use the App. These Terms are entered into between Crosspointx, Inc., a Delaware Corporation, and you. By using NetSpect, you acknowledge that you are at least 13 years old, you have read and understand this entire agreement, you accept these Terms, and you accept our Privacy Policy.

2. Description of Service

NetSpect helps people organise pickup basketball and records who actually turned up. The App provides: group creation and membership; calling a pickup run at a court, now or on a future day; invite links that let other people join a run; a group chat; a map of courts with an indication of how busy each one has been; a list of people you have played with; automatic check-in, which uses your device's location to confirm that you arrived at the court; refereed matches between groups; and ranked seasons.

Refereed matches. A group can list a match in a chosen format. Each player locks in their place on their side by paying the referee fee. Once a side is full and paid, the match goes into City Pool, where another group can take it; if the group turned on auto-match, NetSpect can pair it with another group for them. The two groups then vote on a court, everyone is checked in when they arrive, and the referee keeps the score. While a refereed match is being played, other players can follow its score. They see the two groups' names and the score, never the players' names or faces.

Ranked seasons. A ranked season is an in-person event with a referee at every game. You can sign up for the next season in the App or on netspect.app. Signing up holds your place; it is not a payment and does not guarantee a game.

A run may be marked 3v3, 4v4 or 5v5. That is a display target only — it does not reserve a place, does not stop anyone else joining, and does not guarantee a game of that size or any game at all.

NetSpect coordinates people. For a refereed match it arranges a referee, who is an independent person paid through the App and not our employee — we do not supervise how they officiate. It does not supply courts, equipment, insurance, or supervision, and it is not a party to any game you arrange through it. The App is provided "AS-IS" without guarantees of availability, accuracy, or fitness for any particular purpose.

3. Invite Links & Group Membership

An invite link works for anyone who holds it. It is not tied to a phone number, an email address, or a person, and it can be forwarded on indefinitely by anyone who receives it. Whoever opens a valid link and isn't in a group yet can join that run, and joining a run through a link also makes that person a member of the group that called it.

That is the intended behaviour, not a loophole — it is how a run gets filled by a friend of a friend. It also means you are responsible for who you send a link to and where it ends up. If you do not want someone in your group, do not send them a link and do not post one publicly.

A link can be turned off. The person who created a link can revoke it, and the person who called the run can revoke any link to it. Revoking stops future joins; it does not remove anyone who has already joined. The person who created a group can reset the group's invite code, which stops the old code working at once, and can remove a member from the group. Group membership is one group at a time. A run invite link never moves you out of a group you are already in: if you are in another group, you have to leave it before you can join the run. A group invite code is different: if you are already in a group, the App asks you first, and only moves you to the new group if you say yes.

Spot invites. A spot invite offers someone one place on your side in one match. You can send it in the App to someone you have played with, or share it as a link. Whoever takes the spot plays that one game and pays the referee fee like everyone else on the side. It does not make them a member of your group or put them in its chat. A spot invite stops working once your side is full or the match moves on, and it can be cancelled before then.

4. Group Chat & User Content

Anything you type into a group chat, and any name you give yourself, a group, or a run, is content you are responsible for. You keep your rights to it and grant us permission to store and display it to the people it is addressed to, in order to operate the App.

You may not post content that is unlawful, threatening, harassing, hateful, sexually explicit, defamatory, or that impersonates somebody else, and you may not use chat to advertise or to solicit. We do not review messages before they are sent. We can remove content and suspend or terminate accounts for violations of this section, at our discretion and without notice.

To report a message or a person, tap their profile picture in the group chat or on the roster, then tap Report. Reports come straight to us, and we act on them within three business days: we may delete the reported message, remove the person from the group, or suspend their account. A suspended account can't send chat messages, call or join games, or join or create a group until we lift the suspension. You can also block anyone, which hides their messages from you immediately. The App also stops slurs, threats and sexual harassment before they are sent. Chat is scoped to a single group: messages are visible to that group's members, and removing a member does not by itself delete messages they already sent, because those messages are also part of other members' history; we delete a message only when it breaks these Terms.

5. Courts, Activity & Other Players

The App shows public courts on a map, with an indication of how busy each has been recently. That indication is aggregated: it is derived from how many distinct people checked in, never from who they were, and a court with fewer than three distinct people in the period is reported as having no activity rather than a small number. It is not a live feed of who is at a court, and it should not be read as one.

The App also shows you the names of people you have previously played with, so you can invite them again. They see your name on the same basis.

Courts listed in the App are real, public places we did not inspect and do not control. Availability, condition, safety, lighting, opening hours and legality of access are entirely outside our knowledge. A court appearing in NetSpect is not a recommendation and not permission to be there.

6. Credits

Credits (the App calls them passes) are an accountability mechanism for group-versus-group matches. Every account starts with five. They are free, have no cash value, can't be bought or sold, and are not refundable. Accepting a match reserves one credit. Showing up and being checked in at the court gives it back, ready to use again. If you accepted and didn't turn up, you lose it. If a match is called off or closed before it is played, every reserved credit is returned.

Match-fee credit is separate. It is the value of a referee fee that came back to you because a refereed match didn't happen (see §9). It can only be spent on future referee fees and has no cash value.

7. Geofencing & Location Accuracy

We use GPS to detect arrival at a court, and to confirm you are still there while a run is under way so that time at the court is measured rather than assumed. That confirmation happens opportunistically, when the App is already awake — it is not a continuous stream and we do not track your movement between courts. We verify your location server-side, comparing it to expected court coordinates, before releasing your reserved credit. GPS is not 100% accurate: expect an error margin of roughly ±20–50 feet depending on weather, buildings, or dense foliage, and geofencing may not detect arrival with a weak signal or delayed/disabled location permission. We are not liable for GPS inaccuracy, missed check-ins due to poor signal, false positives, or device/user-caused location failures.

If you believe your credit was incorrectly withheld after a match, contact us within 7 days with your match ID, the date/time, and why you believe you were at the court. We'll review your device's GPS logs, court location records, and server-side verification data. If we confirm you were likely there, we'll restore your credit; if inconclusive, we may restore it at our discretion; if we determine it was correctly withheld, it stands.

8. User Responsibilities & Conduct

You agree to provide accurate information, only join runs you intend to attend, arrive on time, treat other players with respect, use the App lawfully, and keep location enabled while a run you joined is under way.

You may not spoof your GPS location or otherwise fake a check-in, join runs with no intent to play, harass or discriminate against other users, post content prohibited under "Group Chat & User Content", publish invite links somewhere you would not personally invite people from, share your account, use the App illegally, or reverse-engineer or attack the App or its servers.

9. Payments, Subscriptions & Refunds

Most of the App is free. There are two things you can pay for. Both are sold by Crosspointx, Inc. and processed by Stripe; we never see your full card number.

Referee fees. A refereed match has a referee fee, charged per player per match through Apple Pay. The amount is shown before you pay and depends on the format and on whether you have a league membership. League and Pro-Am members pay $4.99 for 3v3, $3.99 for 4v4 or 5v5, and $2.99 for a sub. Without a membership the fee is $6.99 for 3v3, $5.99 for 4v4 or 5v5, and $3.99 for a sub. If you are using an older version of the App, you are charged the price that version shows. A ranked 1v1 match has a flat referee fee of $3 per player. Referee fees are not refunded as money. If a refereed match is called off before it is played, your fee becomes match-fee credit for a future match. If you leave a match while your side is still filling, before another group takes it or before it locks, your fee also becomes match-fee credit. If you pay twice for the same match, the extra payment also becomes match-fee credit.

League membership. The NetSpect league is a monthly membership with two plans: League ($14.99 a month) and Pro-Am ($29.99 a month). You join through Stripe's checkout, in the App or on netspect.app. The price is shown before you join and on your Stripe receipt. The membership renews automatically each month until you cancel. You can switch between plans from Your membership in the App; the change and any price difference are shown before you confirm.

What a membership pays for. A membership pays for in-person services, not for anything inside the App: your place in the league season, your team entered in the season's standings, refereed games at member prices, and help from us arranging league games and referees. Pro-Am also includes entry to Pro-Am tournaments, which are in-person events held on dates we announce; until one is announced, there is nothing extra to attend. Tournaments are for play and standings only: there are no cash prizes, prize pools or awards of money. To ask for any of these, email pointxcross@gmail.com from the address on your Stripe receipt. Everything else in the App, including the map, pickup runs, chat, profiles and ratings, stays free for everyone.

Free weeks. A first League membership may start with 14 days free. Pro-Am has no free days. You give a card when you start, but it is not charged until the free days end. If you cancel before then, you pay nothing. Free weeks are given once per person: an account, a card or a phone that has already had them does not get them again. If the card you use already had free weeks on another account, your free weeks end straight away and the card is charged that day.

Cancelling. You can cancel any time from Your membership in the App (on your Profile), from Manage membership on your My account page at netspect.app, or from the link in your Stripe receipt email. Your membership then runs to the end of the free days or the month you already paid for, and you are not charged again. We don't refund partial months. Deleting your NetSpect account cancels the membership at once, with no refund for the rest of that month. If we cancel the league, or can't run it for a month you paid for, we refund that month in full.

Under 18. If you are under 18, you need permission from a parent or guardian before you pay for anything in NetSpect. The first time you pay, in the App or on netspect.app, you confirm: “I'm 18 or older, or I have a parent's or guardian's permission to pay.” You confirm it once per account.

Games are called and attended by people. A pickup run being cancelled, rained off, or poorly attended is not a billable event and produces no refund, because no charge was ever attached to it.

If you dispute a charge with your bank instead of contacting us, the related fee stops counting as paid while the dispute is open, and any match-fee credit it produced may be removed.

10. Liability Disclaimer

To the maximum extent permitted by law, Crosspointx, Inc. assumes no liability for injuries or damages related to matches arranged through the App (including physical injury, property damage, or death), disputes between players, GPS/location failures preventing credit release or check-in, service interruptions, data loss, third-party conduct, credits not returned for any reason, other groups' match decisions, court conditions, or check-in accuracy disputes (except as covered in §7).

Your use of NetSpect is entirely at your own risk. Basketball carries inherent injury risk; we don't provide insurance, liability protection, or medical coverage; you're solely responsible for your own safety and conduct at facilities you choose. The App is provided "AS-IS" without warranty of any kind — we don't warrant it will be error-free, uninterrupted, always available, secure, or compatible with all devices. To the maximum extent permitted by law, our total liability to you for any claim will never exceed the greater of (a) the total amount you actually paid us in the twelve months before the claim, or (b) one hundred US dollars. Most of the App is free to use, so for most users that figure is one hundred dollars. Weather forecasts shown in the App come from Apple Weather and can be wrong; they are a guide, not a guarantee, and whether conditions are safe to play in is your call.

11. Indemnification

You agree to indemnify, defend, and hold Crosspointx, Inc. harmless from claims, damages, losses, or expenses (including attorneys' fees) arising from your use or misuse of the App, your violation of these Terms or any law, disputes with other players, injuries during matches, or other claims related to your conduct.

12. Account Termination

You can delete your account at any time through the App settings — this is a permanent deletion, not a deactivation. Your account, profile and photo, attendance records, invite links made out to you, daily availability, and any credit history are permanently deleted, you are removed from your group, and future location data is not collected. If you signed in with Apple, deletion also revokes the App's Apple sign-in token, so the connection between your Apple ID and NetSpect is severed rather than left dangling. Chat messages you sent and the outcome of completed matches stay, because they are part of other members' shared history, but your name is taken off them and replaced with "Deleted player". Any unspent match-fee credit is lost when you delete your account; it can't be paid out or moved to another account. If you have a league membership, deleting your account cancels it straight away, and the rest of the month you already paid for is not refunded. If you referee and we still owe you a payout, we keep a small record of that payout until it is paid, and then delete it.

We reserve the right to terminate or suspend your account if you violate these Terms, engage in prohibited conduct, repeatedly join runs and fail to turn up, fake a check-in, engage in harassment, post content prohibited above, or violate any law. Termination is at our sole discretion; upon termination your account is permanently closed, any credits in your account are not returned, and you lose access to all App features.

13. Intellectual Property

Crosspointx, Inc. owns all rights to the NetSpect name, logo, App code, design, and content. You retain rights to information you provide (group names, match details) but grant Crosspointx, Inc. permission to use it to operate the App. You may not copy, modify, distribute, reverse-engineer, or decompile the App, or remove/alter copyright notices.

14. Changes to Terms & Service

We may update these Terms or App features at any time. We'll notify you of material changes within the App or via email; continued use means you accept the new Terms — if you don't accept, you must stop using the App.

15. Dispute Resolution

Before pursuing legal action, contact us at pointxcross@gmail.com (subject: "Dispute Resolution Request") to resolve disputes informally — describe the issue, match ID (if applicable), and requested resolution; we'll respond within 7 business days.

By using NetSpect, you agree that any dispute or claim arising from these Terms will be resolved by binding arbitration, not in court, under American Arbitration Association (AAA) rules, taking place in Newark, Delaware. You waive the right to a jury trial and to a class action lawsuit. Arbitration does not apply to claims for injunctive relief, intellectual property infringement, or breach of confidentiality.

16. Governing Law & Severability

These Terms are governed by the laws of the State of Delaware. If any provision is found invalid or unenforceable, that provision is severed and reformed to the minimum extent necessary, while the rest remain in effect. Together with our Privacy Policy, these Terms are the entire agreement between you and Crosspointx, Inc. — no other agreement is valid unless signed by an officer of Crosspointx, Inc.
